Non-Affiliation and Non-Endorsement Agreement

This Non-Affiliation and Non-Endorsement Agreement ("Agreement") is a public declaration by Diffusion Arc ("We," "Us," or "Our") concerning our relationship to CivitAI. By accessing or using the Diffusion Arc website or services, you acknowledge and agree to the following terms:

1. Definitions

• "Diffusion Arc" means the website and services operated by Diffusion Arc.
• "CivitAI" means any website, service, product, or entity operating under the name "CivitAI" or any similar marks.
• "User" means any visitor to, or user of, the Diffusion Arc website or services.

2. No Affiliation

Diffusion Arc is an independent, unaffiliated entity. We are not in any way legally or commercially affiliated with, owned by, operated by, or partnered with CivitAI. Any similarities in name or service area are purely coincidental or based on shared technical domain ("AI image models") and do not imply any relationship.

3. No Endorsement

Diffusion Arc does not endorse, sponsor, or approve any products, services, policies, or content of CivitAI. Any reference to CivitAI on our site or in our communications is solely for informational or comparative purposes.

4. Use of Trademarks and Names

All trademarks, service marks, trade names, logos, and product names of CivitAI are the property of their respective owners. Diffusion Arc's use of any such marks or names is for descriptive purposes only and does not imply any affiliation, sponsorship, or endorsement.

5. No Agency; No Partnership

Nothing in this Agreement shall be construed to create any agency, joint venture, partnership, or employment relationship between Diffusion Arc and CivitAI, or between Diffusion Arc and any User.

6. Indemnification

You agree to indemnify, defend, and hold harmless Diffusion Arc and its officers, directors, employees, and agents from any claims, damages, liabilities, losses, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Any assertion that Diffusion Arc is affiliated with or endorsed by CivitAI;
• Your misuse of this disclaimer or any representations you make about our relationship to CivitAI.

7. Governing Law

This Agreement and any dispute arising out of it shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois.

8. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

9. Entire Agreement

This document constitutes the entire non-affiliation and non-endorsement agreement between Diffusion Arc and any User with respect to CivitAI, and supersedes all prior or contemporaneous understandings or agreements, whether written or oral.

By using Diffusion Arc, you accept and agree to this Non-Affiliation and Non-Endorsement Agreement.
