Welcome to Diffusion Arc. These Terms and Conditions ("Terms") govern your access to and use of the Diffusion Arc website and services (the "Service"), operated by Diffusion Arc ("we," "us," or "our"). By accessing or using the Service, you ("you," "User," or "Member") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

"Content" means text, models, images, graphics, code or other materials uploaded, downloaded or appearing on the Service.

"Models" means AI image‐generation model files, training scripts, checkpoints, weights or metadata.

"User Content" means any Content that you upload to Diffusion Arc.

2. Eligibility

You must be at least 13 years old (or older if required by your local law) to use the Service.

If you are under 18, you may use the Service only with involvement of a parent or guardian.

3. Account Registration

You must register for an account to upload, download, or otherwise access Models.

You agree to provide accurate, current, and complete information, and to update it promptly.

You are responsible for safeguarding your password and for all activities under your account.

4. User Content; Licenses

4.1 Ownership

You retain ownership of any Models or other Content you upload.

4.2 License to Us

By uploading User Content, you grant Diffusion Arc a worldwide, non-exclusive, royalty-free, sublicensable, perpetual license to host, store, transmit, reproduce, distribute, prepare derivative works of, publicly display and otherwise use your User Content for the purpose of operating, improving and promoting the Service.

4.3 License from Us

Subject to your compliance with these Terms, Diffusion Arc grants you a limited, non-exclusive, non-transferable license to access and use the Service and to download and run Models as specified by their individual licenses.

5. Content Guidelines & Prohibited Conduct

5.1 You Represent and Warrant That:

You own or control all rights in and to the User Content.

Your User Content does not infringe any third-party intellectual property or privacy rights.

You have obtained all necessary rights and consents to upload and grant the licenses set forth above.

5.2 Prohibited Content and Activities

You agree not to upload, post, or otherwise make available any Content that:

• Violates any applicable law or regulation.
• Infringes any third party's intellectual property rights.
• Is unlawful, abusive, harassing, hateful, violent, or defamatory.
• Contains harmful code (e.g., viruses, malware).
• Constitutes spam, phishing, or other unsolicited advertising.

Diffusion Arc reserves the right to remove any Content that violates these Terms.

6. Privacy and Data Protection

6.1 Information We Collect

Account Information: name, email address, username, password.

Usage Data: logs of your activity, IP address, browser type, device information.

Uploaded Content: any Models or files you choose to submit.

6.2 Use of Information

To provide, maintain, and improve the Service.

To communicate with you about updates, security alerts, and support.

To analyze usage trends and personalize your experience.

6.3 Sharing of Information

We do not sell your personal information. We may share data:

With Service Providers: who perform services on our behalf (e.g., hosting, analytics).

To Comply with Law: if required by applicable law, regulation, or legal process.

Business Transfers: in connection with a merger, acquisition, or sale of assets.

6.4 Data Security

We implement reasonable administrative, technical, and physical measures to protect your information. However, no system is completely secure.

6.5 Data Retention and Deletion

We retain your personal data as long as your account is active or as needed to provide the Service.

You may delete your account at any time; we will thereafter disable access to and, where possible, permanently delete your personal data.

7. DMCA and Notice-and-Takedown

We comply with the Digital Millennium Copyright Act ("DMCA"). If you believe Content on the Service infringes your copyright, please provide our Designated Agent (contact below) with a notice containing:

• Your contact information.
• Identification of the copyrighted work.
• Identification of the infringing Content.
• A statement of good-faith belief.
• Your electronic signature.

Upon receipt of a valid notice, we will remove or disable access to the infringing material.

8. Fees and Payment

Diffusion Arc is currently free to use. We reserve the right to introduce fees for certain features in the future.

If fees are introduced, you will have the opportunity to accept before being charged.

9. Termination

You may delete your account at any time via your account settings.

We may suspend or terminate your account, remove Content, or block access if you materially breach these Terms.

Upon termination, all licenses granted to you will immediately cease.

10. Disclaimers

No Warranty. The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied.

No Endorsement. We do not endorse nor guarantee the accuracy, quality, or legality of any User Content or Models.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will Diffusion Arc or its affiliates, officers, directors, employees or agents be liable for:

Any indirect, incidental, special, punitive, or consequential damages.

Any loss of profits, data or goodwill.

Any damages arising from unauthorized access to or alteration of your transmissions or data.

Our total aggregate liability under these Terms will not exceed USD 100.

12. Indemnification

You agree to indemnify, defend, and hold harmless Diffusion Arc and its affiliates from any claims, liabilities, damages, losses or expenses arising out of or in any way connected with:

Your User Content.

Your breach of these Terms.

Your violation of any law or the rights of a third party.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict-of-laws principles.

You agree to submit to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois.

14. Changes to These Terms

We may revise these Terms from time to time. If we do, we'll post the new Terms with a new "Last updated" date. Continued use of the Service after such updates means you accept the new Terms.

15. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

16. Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

17. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign these Terms without restriction.

18. Entire Agreement

These Terms constitute the entire agreement between you and Diffusion Arc concerning the Service.

19. Non-Affiliation

Diffusion Arc is not affiliated with, endorsed by, or connected to CivitAI. Please refer to our Non-Affiliation and Non-Endorsement Agreement for more information.
